Our client, a leading global bank, is looking to fill a transactional (M&A) Counsel role.

Reporting into the Global Head of Legal (M&A), the remit of the role will be to advise on the bank’s own M&A, Joint Ventures, investments, divestments, and other transactional matters. The coverage for this role is global.

The successful candidate should be LLB/LLM/JD qualified with 3 to 6 PQE. Prior experience in advising on complex and cross-border transactional matters is a must. Prior experience with international law firms (M&A Practice) and/or relevant experience with an international financial institution would be very well regarded. This is an excellent opportunity for corporate M&A lawyers looking to transit in-house.

To be successful in the role, you will need to be independent, take ownership in delivering quality work, and be a team player.

 

Key Responsibilities

  • Advise on the bank’s own corporate transactional matters (M&A, Investments, Divestments, JVs; etc)
  • Negotiating NDA, Engagement Letters, Offer Letters, SPAs, and other relevant commercial and transactional agreements
  • Manage end to end legal process of a transaction
  • Manage and instruct external counsels supporting the bank’s M&A transactions
  • Work closely with cross functional departments e.g., Tax, Finance, Compliance, Treasury, Corporate Secretariat) to ensure strong alignment and successful execution of transactions and projects
  • Ensure the execution of all projects and transactions are in accordance with group policies, procedures, and standards
  • Ensure legal, statutory, and regulatory requirements are always met

Key Requirements

  • Bar qualification (3 to 6 PQE)
  • Strong transactional experience gained in international law firms (Corporate M&A Practice) or global financial services firm
  • Independent and able to work in a fast-paced environment
