Position Overview:
We are seeking a seasoned Senior Legal Counsel with 10 to 15 years' post-qualification experience (PQE) to join our prestigious legal team. This newly created role will serve as the sole counsel, providing expert legal support across a broad spectrum of general corporate commercial matters and corporate transactions. The successful candidate will play a critical role in advising on fund-level and portfolio company-related issues, while also engaging with a diverse range of internal and external stakeholders.

Key Responsibilities:

  • Provide strategic legal advice and support on a wide range of general corporate commercial matters, including corporate governance, compliance, commercial contracts, and risk management.
  • Lead and oversee corporate transactions, including mergers and acquisitions, joint ventures, strategic partnerships, and investments, from negotiation to execution.
  • Advise on fund-level matters, including fund formation, structuring, and regulatory compliance, in collaboration with internal investment teams and external advisors.
  • Collaborate closely with portfolio companies on legal matters, including corporate structuring, governance, financing, and exit strategies.
  • Draft, review, and negotiate complex commercial agreements, including technology licensing agreements, service agreements, and partnership agreements.
  • Act as a key legal advisor to internal stakeholders, including senior management, investors, customers, and commercial and corporate functions, providing timely and pragmatic legal solutions.
  • Manage relationships with external legal counsel and other advisors, ensuring high-quality and cost-effective legal services.

Qualifications and Experience:
  • Qualified lawyer with 10 to 15 years' PQE, with extensive experience in general corporate commercial law and corporate transactions.
  • Strong academic background in law, with a recognized legal qualification from a reputable institution.
  • Proven track record of leading and executing complex corporate transactions, including M&A, joint ventures, and investments.
  • Experience in advising on fund-level matters and familiarity with fund formation and regulatory requirements would be highly advantageous.
  • Excellent drafting, negotiation, and analytical skills, with the ability to provide commercially astute legal advice.
  • Strong project management and organizational skills, with the ability to manage multiple priorities and stakeholders effectively.
  • Exceptional interpersonal and communication skills, with the ability to build relationships and influence key stakeholders at all levels.
