Job Description

Our client is a leading venture capital firm specializing in investing in innovative startups across various industries globally. With a proven track record of success, we are dedicated to supporting entrepreneurs and driving growth in the technology and innovation landscape.

We are seeking a highly skilled Senior Legal Counsel to join their dynamic legal team on a contract basis for 4 to 6 months. The Senior Legal Counsel will play a critical role in providing comprehensive legal support to our investment activities, ensuring compliance with regulations, and mitigating legal risks. Reporting to the Head of Legal, the successful candidate will collaborate closely with various stakeholders within the organization.

Responsibilities:
  • Provide expert legal advice and support on a wide range of matters related to venture capital investments, including due diligence, deal structuring, negotiation, and documentation.
  • Review and draft investment agreements, term sheets, legal opinions, and other transactional documents, ensuring accuracy, completeness, and compliance with relevant laws and regulations.
  • Conduct thorough legal research and analysis to assess legal risks and provide strategic guidance to the investment team.
  • Collaborate with external legal counsel and other advisors as necessary to facilitate transactions and resolve complex legal issues.
  • Assist in the development and implementation of internal policies, procedures, and best practices to enhance legal compliance and efficiency.
  • Stay informed about changes in laws, regulations, and industry trends impacting venture capital investments, and proactively advise the organization on potential implications.
  • Participate in team meetings, trainings, and knowledge-sharing initiatives to contribute to the continuous improvement of legal processes and capabilities.
Qualifications:
  • Minimum 8 years of post-qualification experience (PQE) as a practicing lawyer, with a focus on venture capital, private equity, M&A, or corporate finance transactions.
  • Juris Doctor (JD) or equivalent degree from an accredited law school; admission to the bar in the relevant jurisdiction preferred.
  • Proven track record of successfully structuring and executing complex investment transactions, preferably within the venture capital or startup ecosystem.
  • Strong understanding of corporate and securities laws, as well as relevant regulatory frameworks governing venture capital investments.
  • Excellent drafting, negotiation, and communication skills, with meticulous attention to detail and the ability to convey complex legal concepts clearly and concisely.
  • Demonstrated ability to work independently and collaboratively in a fast-paced environment, managing multiple priorities and deadlines effectively.
  • Strong analytical and problem-solving skills, with a proactive and solution-oriented approach to addressing legal issues.
  • Experience working in a top-tier law firm or in-house legal department preferred.
