Job Description

We are seeking a Legal Counsel/Senior Legal Counsel (3-4 PQE) to join our client, a venture capital firm with a global portfolio.

The successful candidate will be responsible for managing end-to-end investment transactions, including deal structuring, term sheets, drafting, reviewing, and negotiating legal agreements, supervising legal due diligence, and ensuring the legal completion of all transactions. You will also provide legal counsel to business stakeholders on relevant laws, regulations, and legal issues, and conduct legal trainings when necessary.

 

Key Responsibilities

  • Provide legal advice and support to investment teams to enhance the investment process
  • Manage the legal process of investment transactions, including deal structuring, term sheets, drafting, reviewing, and negotiating legal agreements, supervising legal due diligence, and ensuring legal completion of all transactions
  • Counsel business stakeholders on relevant laws, regulations, and legal issues, and conduct legal training when necessary
  • Attend to the legal aspect of portfolio management and divestment matters
  • Ensure compliance with external and internal regulatory requirements, timely communications with stakeholders, and improve internal processes as needed
  • Manage corporate secretarial responsibilities and ensure accurate and timely record-keeping
  • Provide value-adding legal support to other corporate functions
  • Advise on general corporate commercial matters

 

Key Requirements

  • Singapore-qualified lawyer (LLB or equivalent) with at least 3 years of post-qualified experience in private practice or as an in-house lawyer
  • Prior experience in venture capital, M&A, venture capital, and investment funds will be well regarded
  • Relevant work experience and a deep understanding of venture capital, private equity, joint ventures, mergers and acquisitions, and corporate law
  • Proven ability to understand commercial considerations and advise on a broad range of regulatory and corporate matters
  • Ability to multitask and work in a fast-paced and vibrant corporate environment
  • Excellent relationship management skills
  • Knowledge and/or experience in corporate secretarial work is preferred.
