Our client is a venture capital firm that specializes in early-stage investments in the Southeast Asia region. Their focus is on identifying and nurturing promising startups that are poised to become market leaders. They work closely with our portfolio companies to provide strategic guidance and resources to help them achieve their goals.

They are seeking a highly motivated and experienced Legal Counsel to join the team. In this newly created role, you will be responsible for providing legal support to the firm's investment activities and portfolio companies. You will work closely with senior management and other stakeholders to structure, negotiate, and execute a wide range of VC deals and equity investments. This is a highly visible position that offers significant opportunities for growth and development.

Key Responsibilities:

• Draft, review, and negotiate a wide range of legal documents, including investment agreements, term sheets, shareholder agreements, and other transactional documents.
• Provide legal advice and guidance to the firm's investment team on deal structuring and execution.
• Conduct legal due diligence on potential investments and portfolio companies.
• Advise portfolio companies on legal matters, including corporate governance, intellectual property, employment, and regulatory compliance.
• Work closely with external counsel and other advisors to manage legal risks and ensure compliance with applicable laws and regulations.
• Participate in strategic planning and decision-making processes related to the firm's investment activities.
• Keep abreast of legal and regulatory developments that may impact the firm's investments and portfolio companies.

Key Requirements:

• Qualified lawyer with at least 5 years of relevant post-qualification experience.
• Strong knowledge of corporate and commercial law, with experience in VC and equity investments, preferred.
• Familiarity with the legal and regulatory environment in Southeast Asia.
• Excellent drafting, negotiation, and communication skills.
• Ability to work independently and collaboratively in a fast-paced, dynamic environment.
• Strong interpersonal skills and ability to interact effectively with senior management and other stakeholders.
