Job Description:
Our client is seeking a highly skilled and experienced Legal Counsel to join their dynamic team in Singapore. This newly created role offers an exciting opportunity for a qualified legal professional with a minimum of 5 years of post-qualification experience (PQE) to make a significant impact in the venture debt space. The ideal candidate will have a strong background in financing and M&A transactions, with a proven track record of handling complex deals in a fast-paced environment.

Responsibilities:
  • Lead and manage all legal aspects of financing transactions, including structuring, negotiation, and documentation of venture debt deals. Collaborate closely with internal teams and external parties to ensure smooth execution of transactions.
  • Provide expert legal advice and guidance on a wide range of corporate and commercial matters, including but not limited to corporate governance, compliance, and contractual issues. Assist in the development and implementation of legal strategies to mitigate risks and maximize opportunities.
  • Build and maintain strong relationships with key stakeholders, including investors, portfolio companies, and external legal advisors. Serve as a trusted advisor to senior management and other cross-functional teams on legal and regulatory matters.
  • Stay abreast of relevant laws, regulations, and industry best practices to ensure compliance with applicable legal requirements. Develop and implement compliance policies and procedures to safeguard the interests of the fund and its stakeholders.
  • Drive process improvements and efficiencies within the legal function, leveraging technology and innovation to enhance productivity and effectiveness. Proactively identify areas for improvement and implement solutions to streamline workflows and optimize outcomes.
Requirements:
  • Bachelor's degree in Law from a reputable university; admission to the Singapore Bar or equivalent jurisdiction.
  • Minimum of 5 years of PQE in legal practice, with a focus on financing and M&A transactions preferably gained in a top-tier law firm or financial institution.
  • Strong knowledge of venture capital, private equity, and debt financing structures, with a proven ability to navigate complex deal structures and documentation.
  • Excellent drafting and negotiation skills, with a keen attention to detail and the ability to effectively communicate complex legal concepts to non-legal stakeholders.
  • Ability to work independently and collaboratively in a fast-paced, entrepreneurial environment, with a hands-on approach and a proactive mindset.
  • Strong interpersonal and influencing skills, with the ability to build rapport and trust with stakeholders across different geographies and cultures.
