Key Responsibilities:
- Provide legal advice and support on a wide range of general corporate matters, including corporate governance, compliance, commercial contracts, and risk management.
- Handle transactional matters, including mergers and acquisitions, joint ventures, strategic partnerships, and corporate restructurings, from inception to completion.
- Draft, review, and negotiate various commercial agreements and transactional documents, such as asset purchase agreements, share purchase agreements, joint venture agreements, and confidentiality agreements.
- Conduct legal research and analysis on corporate and transactional laws, regulations, and industry best practices to ensure compliance and mitigate legal risks.
- Collaborate closely with internal stakeholders, including senior management, business units, finance, and other departments, to address legal issues and support strategic initiatives.
- Assist in the development and implementation of corporate policies, procedures, and best practices to promote legal compliance and efficient operations.
- Manage external legal counsel as necessary, including instructing and supervising external lawyers on specific legal matters and transactions.
Qualifications and Experience:
- Qualified lawyer with 4 to 6 years' PQE.
- Strong academic background in law, with a recognized legal qualification from a reputable institution.
- Experience in both general corporate law and transactional matters, gained from corporate practice and/or relevant in-house legal experience.
- Excellent drafting, negotiation, and analytical skills, with meticulous attention to detail.
- Ability to work independently, manage multiple tasks simultaneously, and thrive in a fast-paced environment.
- Strong communication and interpersonal skills, with the ability to effectively interact with individuals at all levels of the organization.
- Experience with cross-border transactions and familiarity with international legal frameworks would be advantageous.
