Role Overview:
The Senior Manager, Corporate Secretarial will play a pivotal role in overseeing corporate secretarial functions for the REIT, ensuring compliance with SGX listing requirements and supporting board-related matters. The ideal candidate will have at least 10 years of experience, with strong exposure to SGX-listed companies and a solid understanding of the regulatory environment for REITs. This role requires a proactive, detail-oriented professional to support corporate governance, statutory compliance, and shareholder communications.


Key Responsibilities:
  • Oversee all corporate secretarial matters for the REIT, ensuring compliance with SGX listing rules and other relevant regulations.
  • Manage board and committee meetings, including the preparation and review of board papers, minutes, resolutions, and ensuring timely filings.
  • Act as a key advisor to the Board of Directors and senior management on corporate governance practices, regulatory requirements, and best practices.
  • Ensure accurate and timely preparation and submission of announcements, circulars, and annual reports in compliance with SGX requirements.
  • Liaise with external stakeholders, including regulatory authorities, shareholders, and service providers.
  • Coordinate and manage shareholder meetings, including annual general meetings (AGMs), extraordinary general meetings (EGMs), and proxy arrangements.
  • Maintain statutory registers and ensure proper record-keeping of corporate documents and filings.
  • Support internal stakeholders on corporate governance matters and provide guidance on regulatory and compliance issues.
  • Drive continuous improvements in corporate secretarial processes to enhance efficiency and compliance.

Qualifications:
  • ICSA-qualified or equivalent, with at least 10 years of relevant experience in corporate secretarial functions.
  • Proven experience working with SGX-listed companies, ideally within a REIT or real estate sector.
  • Strong knowledge of SGX listing rules, Companies Act, and regulatory requirements relevant to REITs.
  • Excellent organizational and communication skills, with a keen eye for detail.
  • Ability to work effectively in a collaborative team environment while maintaining high levels of accuracy and professionalism.
  • Proactive and adaptable, with the ability to manage multiple priorities in a fast-paced environment.
